KAJIAN FILOSOFIS TENTANG KONSEP TANGGUNG JAWAB TERBATAS PADA PERSEROAN PERORANGAN GUNA MEMBERIKAN PERLINDUNGAN HUKUM PADA UMKM

Abstract

The presence of an individual company is a new development in corporate law where at first the establishment of a company was inseparable from the agreement as the basis for its formation, but with the emergence of this individual individual, it is enough to have basic differences from the previous rules regarding company law. The formulation of the problem in this paper is about the concept of limited liability to individual companies in order to provide legal protection to MSMEs in terms of philosophical studies. The purpose of this paper is to discover and describe the concept of limited liability in individual companies from a philosophical point of view. The type of research used by the author in this research is normative legal research. The concept of an individual company in Indonesia with limited liability contained in the Job Creation Law with limited liability is a form of legal entity that provides legal protection to business actors. In line with the corporate separate legal personality doctrine, the essence of which is that a company, in this case a company, has a different personality or personality from the person who created it.
